Overview
The Limited Partnership Act provides for the creation of limited partnerships and the registration of extra-provincial limited partnerships.
Eligibility
A limited partnership consists of one or more persons who are general partners and one or more who are limited partners.
An extra-provincial limited partnership is required to be registered under the Act where it carries on business in the Province of New Brunswick.
Description
A New Brunswick limited partnership is formed when a declaration of limited partnership is filed under the Act along with the fee.
An extra-provincial limited partnership effects its registration under the Act by filing a declaration of extra-provincial limited partnership.
As described by the Act, various filings are required to maintain an up-to-date registry for limited partnerships. e.g. declaration of change. The relevant statutory provisions and forms should be referred to.
